A Non-Executive Director (NED) is a member of a company's board of directors who is not part of the executive team.

Typically, they refrain from engaging in the day-to-day management of the organisation but are involved in policy making and planning exercises. Their responsibilities also include the monitoring of the executive directors and acting in the interest of the company stakeholders.
